1. ELIGIBILITY: The Exodus Denver Drop (the “Challenge”), facilitated by Exodus Movement, Inc. (“Exodus”), a Texas corporation, is open to persons who are at least eighteen (18) years of age or have reached the age of majority in their respective jurisdiction of residence at the time of entry (the “Entrants”). Exodus along with Exodus and its affiliates’ or subsidiaries’ employees, officers, directors, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing (collectively, the “Released Parties”), and members of their immediate families or households (whether related or not) of any of the above are NOT eligible to participate in the Challenge. Non-eligibility or non-compliance with any of these “Official Rules” will result in disqualification. The Challenge is Void wherever prohibited or restricted by law, including any applicable States of the United States (the “Excluded Territories”). For the avoidance of doubt, any references in these Official Rules to Entrants shall also include the Entrant who are deemed the Winners (as defined below). The Released Parties, Entrants, Winners, and Exodus may collectively be referred to as the “Parties”.
2. AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules, and eligibility or disqualification determinations, which are subject to Exodus’ sole and exclusive authority. Such determinations (if any) are final and binding in all matters relating to the Challenge. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.
3. HOW TO ENTER: The Challenge will occur on two consecutive days: Day 1 begins at 11:00 a.m. Mountain Time (“MT”) on February 18, 2026, and ends at 1:00 p.m. MT on February 18, 2026; Day 2 begins at 8:30 a.m. MT on February 19, 2026, and ends at 1:30 p.m. MT on February 19, 2026 (collectively Day 1 and Day 2 compromise the “Challenge Period”). Exodus’ designated computer or timekeeping device is the official time-keeping device for the Challenge. To enter the Challenge and be eligible to win a Prize, you must complete the following, collectively an “Entry”:
a. Travel to the Exodus branded pop-up event with partner Procession Coffee located at Procession Coffee 1075 Park Ave, Suite 110 Denver, CO 80205;
b. Find the Challenge “Keyword” within the Exodus branded materials at the pop-up event;
c.Take a photo of the Keyword;
d. Post on X/Twitter tagging the official Exodus handle “@exodus”
To be a valid entry, each Entrant must provide all requested information set forth in these Official Rules, e.g. those enumerated in Sections 3 & 5. The Released Parties (as defined above) are not responsible for any late, incomplete, delayed, undelivered, or misdirected entries. By participating, you consent to Exodus and its third-party service providers use of your personal information for the administration of this Challenge, and the Parties acknowledge that all information submitted – as part of the Entry or confirmation of eligibility – will be held confidential in accordance with all applicable data protection laws and regulations, as well as is manner consistent with Exodus’ Privacy Policy, available at https://www.exodus.com/privacy/.
4. PRIZES AND DETERMINATION.
a. Selection. There will be ten (10) “Prizes” available for eligible Entrants to win.
Day 1: The “Winner” of any one Prize on Day 1 will be determined as follows:
Each Winner on Day 1 must be one of the first five Entrants to submit an Entry during the Day 1 Challenge Period.
Day 2: The Winner of any one Prize on Day 2 will be determined as follows:
Each Winner on Day 2 must be the first Entrant to submit an Entry per hour during the Day 2 Challenge Period. By way of illustration:
i. Hour 1: 8:30-9:29 a.m. MT
Winner selected based on the first Entry received 8:30 a.m. onward.
ii. Hour 2: 9:30-10:29 a.m. MT
Winner selected based on the first Entry received 9:30 a.m. onward.
iii. Hour 3: 10:30-11:29 a.m. MT
Winner selected based on the first Entry received 10:30 a.m. onward.
iv. Hour 4: 11:30-12:29 p.m. MT
Winner selected based on the first Entry received 11:30 a.m. onward.
v. Hour 5: 12:30-1:29 p.m. MT
Winner selected based on the first Entry received 12:30 p.m. onward.
a. Prizes. Each Winner for their respective Hour will, subject to Exodus’ confirmation of eligibility, receive $200 USDC. No Winner may receive more than 1 Prize, regardless of their number, or timing of Entries.
b. Determination. Exodus will make all reasonable efforts to determine and confirm the first Entry received each hour during the Challenge Period by an Entrant in accordance with the instructions provided in Section 3; however, as further set out in Section 6(a), Exodus and the Released Parties disclaim all responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, Entries.
c. Notification. Exodus will provide notice of each potential Winner via a direct message from its official, verified X/Twitter handle “@exodus” to the X/Twitter handle of the potential Winner that submitted the first Entry of the hour meeting the requirements of Section 3 and this Section 4. Such message will include instructions on how to submit the relevant information and materials to receive their respective Prize. NO ALTERNATIVE X/TWITTER HANDLE OTHER THAN THE OFFICIAL “@EXODUS” HANDLE WILL CONTACT YOU REGARDING THE CHALLENGE, YOUR PRIZE OR YOUR ELIGIBILITY. PLEASE BE WARY OF ANY SCAMMERS OR IMPERSONATORS AND DO NOT PROVIDE ANY INFORMATION EXCEPT AS INSTRUCTED BY THE OFFICIAL EXODUS ACCOUNT.
5. PRIZE CONDITIONS.
a. By accepting a Prize, each Winner agrees to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Challenge or receipt or use of the Prize. Each potential Winner will receive a notice from Exodus set forth above and must comply with all requested eligibility and identity verification requires as set forth in these Official Rules. Each Winner will be responsible for paying all applicable local, state, and federal taxes associated with their receipt of the Prize. If required by law, each Winner must note that the value of the accepted Prize is taxable as income and an IRS Form 1099 will be filed in the name of the Winner for the value of the Prize. Each Winner is solely responsible for all matters relating to their Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to the potential Winner, if a potential Winner cannot be reached or does not comply with notification instructions and identification verification (described herein) within three (3) business days from the first notification attempt, if a potential Winner fails to return requisite document(s) within the specified time period, or if a potential Winner is found to have not complied in any way with these Official Rules, then such person shall be disqualified and, at Exodus’ sole discretion, an alternate Winner may be selected.
b. By accepting a Prize, where permitted by law, each Winner grants to the Released Parties and those acting pursuant to the authority of the Released Parties (which will be confirmed in writing upon request), the right to print, publish, broadcast and use worldwide without limitation at any time their name, portrait, picture, voice, likeness and/or biographical information, link to any permissible social media platforms (e.g. X/Twitter, Facebook, Instagram, or LinkedIn) for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification with regard to their status as an Entrant and Winner of the Challenge. Each Winner also acknowledges that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Prize(s).
c. All Entrants are subject to identity verification by Exodus, or such authorized third party service provider, whose decision will be considered final and binding. An Entrant is not a Winner of any prize unless and until that Entrant’s eligibility and compliance with all requirements to claim a prize under the Challenge have been verified and fulfilled, and the Entrant receives notice that their verification is acceptable and complete.
f. Identification verification will require the collection of certain personal information for identity verification purposes, including a valid and current driver’s license, passport or state ID and completion of a set of identity-verification questions. Potential Winners that do not provide the requested information or documentation and/or if their information or documentation cannot be verified by Exodus or its authorized third-party service provider within the three (3) business day timeframe set forth in Section 5(a) will be disqualified.
g. A Winner (or potential Winner subject to eligibility and identification verification) is prohibited from the substitution, assignment or transfer of the Prize to another person, entity or Entrant, except if permitted by Exodus in its sole discretion. Exodus reserves the right, where lawful, to substitute a prize for one (1) of equal or greater value if the designated Prize should become unavailable for any reason. Prizes consist of only the items specifically listed in Section 4 of these Official Rules. In no event will more than the stated number of Prizes described herein be awarded and in no event will any Entrant be eligible to win more than 1 Prize. Exodus is not responsible for, and will not replace, any lost, damaged, or stolen prize or prize component or any Prize that is undeliverable.
h. By submitting an Entry, each Entrant represents and warrants that they are not (i) located, organized, or ordinarily a resident in any country or territory subject to comprehensive U.S. economic sanctions at the time of Prize distribution; (ii) identified on any applicable U.S. government sanctions list, including the Specially Designated Nationals and Blocked Persons List; or (iii) acting on behalf of any person or entity described in (i) or (ii). Exodus reserves the right to update the list of restricted jurisdictions to reflect changes in applicable law at the time of Prize distribution.
i. As a condition of receiving a Prize denominated in digital assets, each potential Winner must (i) download the Exodus wallet application, open the Exodus Pay feature, and complete identity verification conducted by our integrated third-party service provider, and (ii) provide a valid blockchain wallet address designated for receipt of the Prize. Exodus reserves the right, in its sole discretion, to screen any provided wallet address using blockchain analytics tools and sanctions screening procedures to ensure compliance with applicable U.S. laws and regulations, including economic sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”).
j. Exodus may refuse to distribute any Prize if the designated wallet address is associated with a Sanctioned Country, any person or entity on a Sanctions List, or any activity that Exodus determines, in its sole discretion, presents compliance, legal, or regulatory risk. Exodus shall have no liability for withholding distribution of a Prize under this provision.
6. MISCELLANEOUS.
a. Indemnification; Limitation of Liability.
i. Limitation of Liability: Notwithstanding any other provision of these Official Rules, the maximum aggregate liability of Exodus and the Released Parties in relation to or arising out of these Official Rules or the Challenge, whether in contract, tort (including negligence), or any other legal theory, shall be limited to an amount of $1,000 USD. This limitation shall apply even if Exodus and the Released Parties have been advised of the possibility of such damages. Furthermore, the Parties recognize that, and Entrants hereby waive Exodus and the Released Parties in relation to, Exodus and the Released Parties shall have no liability with regard to any problems, technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any Entry to be received by Exodus on account of such technical problems, human error or traffic congestion on the internet or at any website, or any combination thereof. IN ANY EVENT, NO PARTY HEREUNDER SHALL BE LIABLE TO ANOTHER FOR CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOST REVENUES OR PROFITS, LOSS OF USE, OR LOSS OF GOODWILL OR REPUTATION) WITH RESPECT TO ANY CLAIMS BASED ON CONTRACT, TORT, OR OTHERWISE (INCLUDING NEGLIGENCE AND STRICT LIABILITY) ARISING OUT OF THESE OFFICIAL RULES OR THE CHALLENGE, REGARDLESS OF WHETHER SUCH PARTY IS LIABLE OR ALLEGEDLY LIABLE WAS ADVISED, HAD OTHER REASON TO KNOW, OR IN FACT KNEW OF THE POSSIBILITY THEREOF.
ii. Indemnification. By entering the Challenge, each Entrant agrees to indemnify, defend, and hold harmless Exodus and the Released Parties from any and all liability, for any claims, damages, injuries, or losses of any kind, and to release all rights to bring any claim, action, or proceeding arising out of, in connection with, or relating to (i) participation in the Challenge; (ii) without limitation, death, or property damage, arising directly or indirectly from the acceptance, possession, misuse, or use of the Prize(s) (iii) defamation, violation of publicity rights, or invasion of privacy in connection with the Challenge or acceptance and use of the Prize(s); and (iv) copyright infringement, trademark infringement, or any other intellectual property-related cause of action arising from or related to the Challenge, the Prize(s), or Exodus’ advertising and marketing related to the Challenge, Entrants, or Winners. Each Entrant and potential Winner assumes all liability for any injury or damage caused or claimed to be caused, by participation in the Challenge, or the acceptance, receipt, or use of the Prize(s).
b. Force Majeure; Right to Terminate.
i. Exodus and the Released Parties are not responsible in the instance that the Challenge is delayed, interrupted, unable to proceed as planned or take place at all, due to an act of God, technical failures, internet outages, war, natural disasters, weather, acts or threats of terrorism, global pandemic, local epidemics, strikes, lockouts, labor disputes, work stoppages, fire, acts of government, or other events outside of Exodus’ reasonable control (each a “Force Majeure” event).
ii. If, for any reason, the Challenge is incapable of proceeding as planned, running as planned, including, without limitation, due to a Force Majeure event, computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Exodus and Released Parties, which, in Exodus’ sole determination, corrupts or affects the administration, security, fairness, integrity, or proper conduct of the Challenge, Exodus reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Challenge. If the Challenge is terminated prior the closing of the Challenge Period, Exodus will provide notice via its official X/Twitter handle “@exodus” and/or the Exodus website. Exodus reserves the right to modify and amend these Official Rules from time to time prior to or during the Challenge Period for clarification purposes.
c. Severability. Any term or provision of these Official Rules that is invalid or unenforceable in any situation, in any jurisdiction, or before any governing authority of competent jurisdiction shall not affect the validity or enforceability of the remaining terms and provisions of these Official Rules or the validity or enforceability of the offending term or provision in any other situation or in any other jurisdiction.
d. Governing Law; Venue and Disputes. These Official Rules shall be governed by the laws of the State of Texas without giving effect to the conflict of laws rules thereof to the extent that the application of the law of another jurisdiction would be required. Any action seeking to enforce any provision of or based on any matter arising out of or in connection with, these Official Rules, the Challenge, or anything related to or arising from the Challenge shall only be brought in the state or federal courts sitting in Harris County in the State of Texas. Each Party hereby waives trial by jury in any court action or proceeding to which they may be parties, arising out of, in connection with or in any way pertaining to, these Official Rules.
e. Waiver. Exodus or a Released Party’s failure to enforce any provision of these Official Rules will not constitute a waiver of future enforcement of that or any other provision. No waiver, amendment or other modification of any provision of these Official Rules will be effective unless it is in writing and signed by Exodus explicitly granting the waiver.
